很多股东来找我们的时候,连自己是怎么“被稀释”的都没弄明白。在深圳这类案子接触多了,套路无非三种:

Since you didn't have the money to follow the investment, your shares were naturally diluted. The most ruthless case I've seen involved a target amount of 7.6 million, where the major shareholder held three consecutive shareholders' meetings, each time timing the capital increase right at the critical point of the notice period, leaving the minority shareholders no time to react.
It's impossible to guard against. In name, it's the old shareholders transferring their equity, but in reality, the transferee is a "trusted insider" brought in by the major shareholder, shifting assets from one hand to the other to dilute your relative shareholding percentage.
Without directly touching your equity, they amend the company's articles of association to change the voting threshold for major matters from two-thirds to a simple majority. Even if you hold over 30% of shares, it's useless—your veto power is effectively nullified.

The procedural angle, frankly, is about catching the other side's missteps. Article 34 of the Company Law is clear: capital increases and share expansions must be approved by shareholders representing more than two-thirds of the voting rights. But many startups in Shenzhen use templates copied from the internet for their articles of association—shareholder meeting notices are given less than 15 days in advance, voting ballots are never delivered, and some even backdate the meeting minutes. These are all openings. We handled a case in Longhua where, by exploiting procedural flaws in the other side's shareholder meeting notice, we managed to overturn a capital increase resolution that had already been finalized.
On the substantive law front, the focus is on "abuse of shareholder rights" and "malicious collusion." Article 154 of the Civil Code can be applied in shareholder disputes to invalidate civil legal acts that involve malicious collusion harming the lawful rights and interests of others. However, this path is difficult to pursue, as it demands an extremely high standard of evidence. It is not recommended for ordinary shareholders to take this route alone.
A combined litigation strategy.
The advantage of this approach is that when you sue to confirm the resolution is invalid, the court will review the legality of the entire capital increase process during its examination. Once the resolution is ruled invalid, the subsequent industrial and commercial registration changes must be revoked, and the equity structure will be restored to its original state. Then, you can file a claim for damages based on the actual losses caused by the other party's malicious dilution—such as valuation differences and dividend losses.
This combination of measures has gained relatively high acceptance at both the Futian and Nanshan Courts in Shenzhen. The key issue is the statute of limitations. Article 22 of the Company Law is very clear: a lawsuit to revoke a resolution must be filed within 60 days. Many shareholders hesitate and keep delaying, and if they file the lawsuit after the deadline, the court will directly dismiss it, without even giving them the chance for a substantive hearing.
In handling equity disputes in Shenzhen, a lawyer's advantage lies not in reciting legal provisions, but in understanding business logic.
Director Shen Jinlong holds a master's degree from Fudan University and has served as a senior executive at a state-owned enterprise, giving him a different perspective on equity dispute cases compared to pure litigation lawyers. When clients come to discuss equity dilution, his first question is often not "Have you held a shareholders' meeting?" but rather "How much money does your company currently have in its accounts, and what supports the valuation?"
A company with net assets of 50 million yuan, where a major shareholder brings in an investor to inject capital at a valuation of 30 million yuan—this is not financing; it's money laundering. The amount in dispute in this case is not large, but its significance lies in this: the decisive factor in equity disputes is often determined before the lawsuit is even filed.
Startups in Shenzhen generally don't take their articles of association seriously, often just copying a template. But the first line of defense against equity dilution lies right in the articles—such as stipulating that any capital increase requires unanimous consent from all shareholders, setting up anti-dilution clauses, and clearly defining preemptive rights. Putting these in writing is a hundred times easier than fighting a lawsuit later.
Shareholder meeting notices, emails, WeChat chat records, and transfer receipts should all be saved in categorized files. Shenzhen courts now have a high acceptance rate for electronic evidence, but the prerequisite is that you can actually produce it.
Equity disputes are most feared when they drag on. Once you discover the other party is making a capital increase move, you should initiate legal proceedings within two weeks and apply to freeze the industrial and commercial change registration to stabilize the situation first. Many parties think that talking it out might resolve the issue, but the result is that the other side completes all the procedures while negotiating.
At the end of the day, equity disputes come down to people and money. When you go into business with partners, even if the goodwill fades, the rules remain. Handle the rules well, and your equity stays yours.

Answer: Yes, it is possible, but it depends on the provisions of the articles of association and the timing. However, if the resolution procedure is lawful and the capital increase price is fair, it is legally difficult to block it. So the key is to detect it early and act early—don't wait until the resolution is finalized to try to find a solution.
Question: Which court in Shenzhen should a shareholder dispute be filed with? How long will it take?
Answer: Generally, jurisdiction follows the company's registered address. If your company is in Nanshan, go to Nanshan Court; if in Futian, go to Futian Court. The first-instance trial period for such cases is 6 months, or 3 months if the simplified procedure is applied. However, equity disputes often involve audits and appraisals, so the actual timeline may be longer.
