Zhiming Lecture Hall Session 10—Validity of Gambling Agreements.
On the afternoon of September 30, 2021, Guangdong Zhiming Law Firm held the tenth session of the "Zhiming Lecture Hall" sharing seminar. The theme of this lecture was "The Validity of Valuation Adjustment Mechanisms (VAM Agreements)," shared by Assistant He Fengling. During the lecture, Assistant He first clarified the definition—what is a VAM agreement? Then, she explained the law through cases—by analyzing actual cases, she found that different objective circumstances lead to different conclusions. Finally, she divided the topic into two parts for discussion: first, VAM agreements with the company, and second, VAM agreements with shareholders, supported by laws and regulations such as the Minutes of the National Court Civil and Commercial Trial Work Conference, the Company Law, and the Civil Code.
