Minutes of the Zhiming Firm-wide Meeting (August 1, 2014)

Today (August 1) at 1:40 PM, Zhiming Law Firm held a firm-wide meeting in the conference room. The minutes of the firm-wide meeting are as follows:
1. Director Wang Tengfeng chaired the meeting and spoke first. The main contents of his speech included: (1) The firm's legal business in the first half of the year saw a significant increase compared to the same period last year; (2) Due to the increase in business volume, the firm was upgraded by the State Taxation Bureau to a general VAT taxpayer, effective from September 1, with the VAT rate rising from 3% to 6%, and the comprehensive tax rate for our lawyers' income correspondingly increasing from 13% to 16%, though still at a relatively low level citywide; (3) Lawyers must be more strict and standardized in handling business fees and invoicing in the future, meeting the requirements of general VAT taxpayers; (4) The firm has added a new payment terminal to facilitate client payments and lawyer practice; (5) Starting now, the firm has increased investment in human and material resources in areas such as standardized management, brand promotion, business training, and team building. Everyone is requested to actively participate and cooperate.
Second, the firm's accountant, Ms. Wu, outlined specific financial requirements aligned with general VAT taxpayer management: (1) Lawyers must require clients to remit legal fee payments to the firm's account or hand cash to the firm's finance department for recording; (2) When lawyers reimburse and withdraw personal legal fee compensation, they must provide at least 30% in reasonable and compliant expense invoices, with the invoice header being the full name "Guangdong Zhiming Law Firm," and must not include "Zhiming," "license plate number," "lawyer's name," etc., except for transportation tickets; otherwise, it is deemed non-compliant, and finance will refuse reimbursement and withdrawal; (3) If lawyers can provide reasonable and compliant special VAT invoices as expense invoices, they may receive a reward of 1% of the invoice amount in tax, but the invoice content is limited to office supplies, fuel, advertising, and related services; other categories require prior consultation with finance for approval; (4) The original tax deduction standards will still apply until August 31, so lawyers needing to issue invoices recently should expedite the process.
Third, Office Administrator Tian Yetong emphasized several issues regarding the standardized management of lawyer business practices that required rectification during the firm's annual inspection in May: (1) Business matters, correspondence, and letters of introduction must be registered separately to ensure standardization, clarity, and completeness; (2) Completed cases must be archived promptly, with case files being complete and standardized, including covers, tables of contents, engagement materials, evidence materials, court documents (including arbitration or settlement documents), and fee receipts; (3) The use of the official seal must be strictly and standardizedly managed to avoid any confusion, especially non-business seals, which must be applied for and approved via a form before use.
Fourth, Lawyer Zhang Yong explained issues related to the firm's brand promotion, learning exchanges, and team cooperation: (1) Correctly understand the requirements of general VAT taxpayers and appropriately adjust legal fee standards, which itself reflects the firm's development and also demands more standardized management; (2) Showcase the firm's brand image and lawyers' professionalism through document details, using unified letterhead paper, contract covers, email signatures, and business cards; (3) All lawyers should update their introduction materials on the firm's website according to three sections: personal profile, main achievements, and contact information; (4) Actively participate in learning and exchange activities organized by the firm, cultivate team awareness, improve personal qualities, and especially effectively use Zhiming WeChat groups, Zhiming QQ groups, Zhiming newsletters (electronic version), and mass emails for internal interactive exchanges; (5) Zhiming is currently striving to strengthen team building through organizational management and system development; everyone should change their mindset and actively explore effective team cooperation models to work together to make Zhiming bigger and stronger.
